Abilium Growth Engine Terms of Service

Last updated: October 7, 2026

These Terms of Service govern access to and use of Growth Engine provided by Abilium The Agency LLC ("Abilium," "we," "us," or "our"). By accepting these Terms and using Growth Engine, you agree to them on behalf of yourself and, when applicable, the business you represent (the "Client"). If you act for a business, you confirm that you have authority to bind it.

1. Service and Eligibility

Growth Engine provides commerce and marketing analytics, reports, recommendations, and supported account-management actions through connected third-party platforms and AI interfaces. Access is limited to authorized Abilium clients and their approved users.

Features depend on the enabled integrations, platform permissions, account eligibility, and services agreed with Abilium. A feature available for one platform or account may not be available for another.

2. Account Authority and Permissions

You must have authority to connect each account, provide its information, and approve actions taken in it. You are responsible for maintaining accurate account information, protecting your access credentials, and ensuring that people you authorize to use Growth Engine have appropriate authority.

You grant Abilium permission to access and process connected information as needed to provide the requested service, subject to the Privacy Policy and applicable platform requirements. This permission is limited to the accounts and activities you authorize.

Technical write permission does not constitute approval of every possible action. Enabling a connection does not transfer account ownership to Abilium.

3. Approval of Write Actions

Growth Engine may prepare proposed changes and, after explicit approval from an authorized user, submit supported changes to the connected platform. These may include Google Ads campaign, budget, bidding, status, or keyword changes and Shopify product-tag changes, where supported and enabled.

Before approving a change, review the affected account, resources, requested values, and expected effects. An approval authorizes the specified change; it does not authorize unrelated changes. An analysis request or request for a recommendation does not, by itself, authorize execution.

You must provide clear instructions and resolve material ambiguities before a change is executed. Abilium may decline or defer an action that exceeds authorization, lacks necessary permissions, conflicts with platform rules, or cannot be completed reliably.

4. Advertising Spend and Operational Effects

Approved changes can affect advertising spend, campaign learning, delivery, bidding, targeting, product organization, automated collections, and live store behavior. Platform spending rules may allow spending to vary from a stated daily budget. A budget change is not a guarantee of an exact daily or monthly charge.

The Client remains responsible for authorized advertising charges and other third-party charges incurred through its accounts. Growth Engine service fees and agency fees are governed by the applicable agreement with Abilium. Approving an account change does not waive any spending limits or approval requirements in that agreement.

Changes may take time to apply, fail, or succeed only in part. Some changes cannot be fully reversed, and reversing a setting does not undo spend, impressions, lost delivery, or other effects that have already occurred. Contact Abilium promptly if an execution result is unclear or appears incorrect.

5. AI Outputs and Performance

Growth Engine may use AI to help analyze information, generate recommendations, and prepare actions. AI outputs and third-party data may contain errors, omissions, delays, or incomplete information. Review material recommendations and proposed changes before relying on or approving them.

Abilium does not guarantee any particular revenue, profit, return on ad spend, conversion volume, search ranking, or other business result. Recommendations and approved actions remain subject to market conditions and the behavior of connected platforms.

6. Client Responsibilities and Acceptable Use

You agree to use Growth Engine lawfully and in accordance with the rules of connected platforms. You must obtain necessary rights and permissions for data, content, advertising, and account access you provide or authorize.

You may not use Growth Engine to access accounts without authority, bypass approval or security controls, misrepresent approvals, disclose credentials improperly, interfere with the service, or carry out prohibited or deceptive activity.

Notify Abilium promptly if you suspect unauthorized access, compromised credentials, or an unauthorized action.

7. Client Data and Service Ownership

As between the Client and Abilium, the Client retains its rights in its connected accounts, business data, and client-owned content and assets. Abilium retains its rights in Growth Engine software, tools, workflows, and service materials. Ownership of separately commissioned deliverables is governed by the applicable client agreement.

Your permission for Abilium to process data and submit approved changes is limited to providing and protecting the service, complying with applicable law, and fulfilling the purposes described in the Privacy Policy. It does not transfer ownership of Client data to Abilium.

8. Privacy and Action Records

Our handling of information is described in the Privacy Policy at https://www.abiliumtheagency.com/privacy. Growth Engine may retain instructions, proposed actions, approvals, timestamps, and execution results to document service activity and support security and troubleshooting.

Do not include unnecessary personal information, passwords, payment details, or other sensitive information in prompts or instructions.

9. Third-Party Platforms

Growth Engine relies on third-party platforms, APIs, hosting, and AI services. Your use of those services remains subject to their applicable terms, policies, permissions, charges, and availability.

Abilium does not control platform outages, account suspensions, API changes, reporting delays, attribution methods, billing practices, or advertising review decisions. Platform restrictions or changes may limit, interrupt, or prevent Growth Engine features.

10. Disconnection, Suspension, and Termination

You may discontinue use and revoke a connection's permissions through the relevant platform or by contacting Abilium. To end all Growth Engine access, identify and revoke any separate agency-managed authorizations or account links as well.

Disconnection prevents future activity through the disabled authorization. It does not reverse completed changes, cancel active campaigns, stop platform charges from existing activity, or delete information held independently by third parties. The Client must separately pause or cancel platform activity it wants to stop.

Abilium may suspend or terminate access when reasonably necessary to protect security, address unauthorized or unlawful use, comply with platform requirements, or respond to a material breach. Where practical, we will provide notice and an opportunity to address the issue. Effects on agency services and fees are governed by the applicable client agreement.

11. Availability and Warranties

Except for express commitments in a signed agreement, and to the extent permitted by law, Growth Engine is provided on an "as available" basis without warranties of uninterrupted operation, error-free outputs, or fitness for a particular business outcome. Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

12. Responsibility and Liability

The Client is responsible for actions it authorizes and the resulting lawful third-party charges. Abilium remains responsible for its obligations under these Terms and any applicable signed agreement.

To the extent permitted by law, neither party is liable under these Terms for indirect, incidental, special, or consequential damages arising from use of Growth Engine. This exclusion does not apply to fraud, willful misconduct, gross negligence, or liability that applicable law does not allow to be excluded. Any separately agreed liability limits or remedies remain governed by the applicable signed agreement. These Terms do not excuse unauthorized actions by Abilium.

13. Relationship to Client Agreements

These Terms supplement any signed services agreement between the Client and Abilium. If the two conflict, the signed agreement controls for the subject of that conflict. These Terms do not change agreed pricing, spending limits, confidentiality duties, ownership provisions, or termination rights in that agreement.

14. Changes to These Terms

We may update these Terms as Growth Engine evolves. We will post the updated version and revise the date above. For material changes affecting authorization or obligations, we will provide notice and request acceptance before applying those changes to your use of the service. An update does not retroactively authorize an earlier action.

15. Governing Law and Disputes

Any governing-law and dispute-resolution provisions in the applicable signed client agreement control. If there is no applicable provision, these Terms are governed by Texas law, excluding its conflict-of-law rules, subject to any mandatory protections under applicable law. Contact Abilium first so the parties can attempt to resolve a dispute in good faith.
